Aemo Consult Limited Terms of Use
Please read these terms and conditions (“Terms of Use” or “Terms”) carefully as they form a legal contract between you and Aemo Consult Limited (“Aemo Consult”, “We”, or “Us”), and contain important information about your legal rights, remedies, and obligations in relation to your use of our services and this website, www.aemotutors.com, (the “Platform”).
You understand that your use of the Platform is subject to our privacy notice, and any other contract that you may enter into as a precondition or condition for using our service as a parent, tutor, student, school or organisation (the “Related Agreements”). In the event of a conflict between these Terms and any Related Agreements, the specific terms of the Related Agreements shall prevail.
We may amend these Terms without prior notice by posting an updated version on this website. You acknowledge and agree to review these Terms periodically to familiarize yourself with any modifications. Your continued use of this Platform after any modifications will constitute acceptance of the revised Terms.
1. About Us
Aemo Consult is a digital marketplace connecting individuals and organisations seeking tutoring services with qualified tutors. The Platform facilitates direct engagements between:
1.1. Tutors: teachers, educators, or professionals offering tutoring services; and
1.2. Clients: including:
1.2.1. Individuals: Parents and students seeking tutoring services; and
1.2.2. Organisations: Schools, firms, and other entities requiring educational support.
Aemo Consult is not a school and does not provide tutoring services. It solely acts as an intermediary, providing a space for users to connect and arrange their service agreements.
2. Eligibility
2.1 Minors: The Platform is intended solely for users aged 18 (eighteen) years old and above. By accessing or using the Platform, you represent and confirm that you are at least 18 years old. We do not knowingly engage with or provide services to individuals under 18 (eighteen) years without parental or legal guardian supervision. Any minor using the Platform must access the services through a parent or legal guardian, who shall be fully responsible for overseeing the minor’s use of the service. We reserve the right to automatically terminate your use of our Platform if you violate this section of the Terms.
2.2 Authority to Bind Organisation: If you are accepting these Terms on behalf of an organisation or company, you confirm that you have the authority to bind the entity to these Terms.
3. The Platform
Aemo Consult operates the Platform. By using it, you confirm that you have read and understood these Terms and agree to comply with them.
3.1 Limited License: We grant you a revocable, limited, non-exclusive, non-transferable, and non-sublicensable licence to access and use the Platform and service for your personal purpose solely under these Terms.
3.2 Amendments: Aemo Consult reserves the right to introduce new services or modify existing ones. Such changes shall take effect immediately upon implementation on the Platform.
You must complete and submit an application form (“Application Form”) containing the following registration requirements to access our services.

You authorise Aemo Consult to do the following: – Conduct identity verification, background, and security checks, either directly or through third-party providers, to confirm your identity and protect against fraud, misrepresentation, or other crimes. – Make necessary inquiries to verify your identity. – Aemo Consult may take action based on the results of these checks, including: ● Disclosing your personal data to authorities or third parties as required by law or to prevent fraud. ● Restricting, suspending, or terminating your access if identity discrepancies or suspicious activities are detected. | You represent and warrant to Us that: – You will notify Us within 14 (fourteen) days of any changes to your registration details. – All registration information is true, accurate, current, and complete. – You will maintain and update your details as necessary. – You will not use automated or non-human means (e.g., bots, scripts) to access the Platform. – You will not engage in illegal or unauthorised activities on the Platform. – Your use of the Platform complies with all applicable laws and regulations. – You acknowledge that this Agreement is legally binding, equivalent to a duly signed paper contract.

4. Services

4.1. Service Process
4.1.1. Client Registration and Request Submission:
To engage a Tutor through our Platform, a Client must complete the Application Form detailed in clause 3 (“Registration”).
4.1.2. Consultation and Tutor Assignment:
Once Aemo Consult selects a Tutor, the Client and Tutor will communicate directly to finalise the tutoring arrangement, including the schedule and mode of delivery. The Client is responsible for verifying the Tutor’s credentials, experience, and availability before engagement. Clients and Tutors will be notified via email and/or WhatsApp. Aemo Consult does not participate in these negotiations nor guarantee any Tutor’s suitability.
4.2. Service Fee:
Aemo Consult charges a fee to the Tutor (“Service Fee”) in exchange for access to the Platform and for facilitating connections between Clients and Tutors. The Service Fee is non-refundable unless otherwise stated by Aemo Consult. Any refund considerations will be at Aemo Consult’s sole discretion and may require an assessment of the circumstances leading to the request. Aemo Consult acts solely as a marketplace facilitator. Aemo Consult acts solely as an intermediary and all Tutor recommendations are subject to the Client’s approval.
4.3. Payments:
The Client agrees to deposit the required fee in advance for the Services into the bank account stipulated by Aemo Consult. Upon payment confirmation, Aemo Consult will assign a Tutor based on the Client’s educational needs, subject to the Client’s approval. Aemo Consult will then remit payment to the Tutor, deducting the applicable Service Fee, into the account specified by the Tutor.
The Tutor must provide accurate banking details, including full name, account number, financial institution, and any other required information. The Client bears sole responsibility for ensuring the accuracy of all payment details before making a transfer. Errors in account details may result in delays or transaction cancellations.
If a payment incurs additional fees (e.g., chargebacks), the Client agrees to reimburse Aemo Consult for all such costs. Aemo Consult is not responsible for any charges imposed by the recipient’s bank. For any applicable charges, the Client must contact the recipient’s bank directly.
5. Restrictions
You agree to the following general restrictions when using the Platform:
5.1. Personal Use: The Platform must only be used for personal and non-commercial purposes, and must not be used to solicit Tutors or Services on behalf of others for profit or external business purposes.
5.2. Compliance with Laws: All Users must comply with applicable laws and regulations. You must not breach these Terms, the Privacy Notice, or any other agreement between you and us.
5.3. Investigative Assistance: Users are required to cooperate in investigations and provide requested identity information.
5.4. Accurate Information: Users must provide truthful, accurate, and up-to-date information when interacting with the Platform.
5.5. Professional Conduct: Users are expected to maintain professionalism in all online and in-person interactions.
5.6. Platform Integrity: Users must not reproduce, duplicate, copy, sell, resell, or exploit any portion of the Platform without express written permission.
5.7. Anti-harassment: Harassment or threats towards employees, agents, or other Users are strictly prohibited.
5.8. Prohibited Content: Users must not share content that is harmful, misleading, defamatory, or infringes on the rights of others.
5.9. Security & Unauthorised Access: Users must not engage in any unauthorised access to the Platform or its servers and networks.

If We terminate your use of the Platform for any reason, We will provide you with notice of our actions. You are responsible for all claims, fees, actions, fines, penalties, and other liability incurred by Aemo Consult, any other User, or a third party caused by or arising out of your breach of these Terms, and/or your use of the Services.
6. Due Diligence
Aemo Consult reserves the right to conduct due diligence checks on all Clients and Tutors using the Service for the following reasons:
6.1. Verification of Compliance: To confirm adherence to obligations outlined in these Terms.
6.2. Legal Disclosures: To ensure that Aemo Tutors can comply with legally binding obligations such as court orders, requests from law enforcement authorities, or government directives, particularly in situations involving investigations, infringements, or other legal proceedings.
6.3. Regulatory Requirements: To fulfil applicable laws or regulations.
Failure to comply with the due diligence process may result in refusal, suspension, or termination of access to the Platform.
7. Aemo Consult Role and Limitations:
Aemo Consult:
7.1. Acts solely as an intermediary facilitating connections between Tutors and Clients.
7.2. Conducts verification based solely on the information provided by Tutors during onboarding. However, these checks are not exhaustive and Users are strongly advised to carry out their assessments to ensure that the Tutors meet their specific needs..
7.3. Is not liable for disputes, misconduct, non-payment, or any actions taken by Clients or Tutors outside the Platform.
7.4. May suspend or remove Clients or Tutors who violate Platform policies.
8. Cancellation
8.1. As a Client or Tutor, you have a right to cancel these Terms within 14 (fourteen) days from the date of registration, allowing you to withdraw from these Terms and cancel the Services without any penalty, subject to the deduction of any reasonable costs incurred by Aemo Consult for the provision of Services before cancellation. You must notify Us within this period and refrain from using the Services.

9.1. How You Can Contact Us: If you have any questions, complaints, feedback, comments, or concerns regarding these Terms or the Services, please contact Us at info@aemotutors.com. When you contact us, please provide Us with the relevant information We need to verify your data.
9.2. How We Will Contact You: We may contact you via text or email using the details provided during registration. We are not responsible for any failure to receive communications if they are sent to your registered email.
10. Intellectual Property
We do not grant you any licenses, express or implied, except as expressly stated in these Terms. All content, including text, graphics, software, and design, is exclusively owned, controlled, and/or licensed by Aemo Consult or its licensors. You must not copy, reproduce, republish, or distribute any materials without prior written consent. If you believe your rights have been infringed, contact Us at info@aemotutors.com.
11. Privacy Notice
By using the Platform, you consent to the collection, use, storage, and disclosure of your information as outlined in these Terms and our Privacy Notice.
12. Disclaimers
We strive to verify the accuracy of all information on the Platform, but it may not always be up to date. You should independently verify any information before relying on it. We make no representations or warranties, express or implied, regarding the content, security, or availability of the Platform or any linked third-party websites.
13. Third-Party Websites
The Platform may include links to third-party websites or services for reference. We do not control or endorse these websites and assume no liability for their content, features, products, or practices. Your access to such websites is subject to their respective terms and policies.
14. Data Compliance and Protection
Aemo Consult complies with data protection laws, including the Nigerian Data Protection Act, 2023 (NDPA). We ensure all Personally Identifiable Information (PII) processed through our Services remains secure and compliant.

15. Trademarks
“Aemo Consult,” “www.aemotutors.com,” and associated logos are trademarks of Aemo Consult or its licensors. You may not copy, modify, or use them without prior written consent. All rights, title, and interest in the Platform, Services, and related technology belong to Aemo Consult
16. Fraud Reporting
Aemo Consult is committed to maintaining the integrity of its Platform and fostering a safe environment for Clients and Tutors. While Aemo does not control the actions of users off the Platform, We encourage all users to report any suspected fraud, impersonation, or unauthorised activity encountered in connection with the Services.
You can report such incidents to Us at aemoconsult@gmail.com, and we will take reasonable steps, within the scope of our role, to investigate and address such concerns, which may include suspending or removing accounts that violate our policies.
17. Termination
You may terminate this Agreement by closing your User Account, which will be deleted within 30 (thirty) days of receiving your notice to discontinue.
We may suspend or terminate your access to the Platform and Services anytime at our discretion, including but not limited to:
17.1. Your failure to comply with any provisions of these Terms;
17.2. Requirement by law or mandated by a competent authority; and/or
17.3. Reasonable suspicion of misuse of the Platform, including fraudulent or unauthorised activity, in connection with your account.
Any unpaid fees accrued up to the date of termination will remain payable. If Aemo Consult terminates the agreement due to your breach of terms, you may not be entitled to any refund of any fees previously paid.
18. Insurance
18.1. No Automatic Insurance Coverage:
Aemo Consult does not provide insurance coverage for Clients or Tutors. Each party is responsible for obtaining their own insurance, where necessary, to cover risks associated with tutoring services, including personal injury, property damage, or other liabilities.
18.2. Tutor and Client Responsibility:
18.2.1. Tutors acknowledge that they are independent service providers and bear full responsibility for their safety and that of the student during tutoring sessions.
18.2.2. Clients are responsible for ensuring a safe learning environment and are encouraged to take necessary precautions, including obtaining personal or third-party liability insurance if required.
19. Indemnification
You agree to indemnify and hold harmless Aemo Consult, its affiliates, subsidiaries, directors, managers, members, officers, and employees from any and/or all claims, demands, actions, damages, losses, costs, or expenses, including reasonable legal fees, arising out of or relating to; (a) your use of the Platform; (b) breach of this Terms or any other policy; (c) feedback or submissions you provide; (d) false, incomplete, or misleading information relied upon by Us to verify your identity, where applicable; or (e) violation of any rights of any other person or entity. However, you will not be required to indemnify Us for claims or losses resulting from our gross negligence or willful misconduct. This indemnity applies to your successors and assigns and survives any termination or cancellation of these Terms.
All warranties, indemnities, and limitations of liability (express or implied) are excluded to the fullest extent permitted by law, unless otherwise provided herein. Nothing in these Terms excludes or limits liability that cannot be excluded under applicable law.
20. Exclusion of Liability
20.1. No Guarantee of Results
Aemo Consult facilitates connections between Clients and Tutors but does not guarantee academic outcomes or improvements in student performance.
20.2. Third-Party Engagements
Aemo Consult is not responsible for the actions, omissions, or conduct of any Tutor or Client. Engagements between Tutors and Clients are at their own discretion and risk.
20.3 Limitation of Liability
To the maximum extent permitted by applicable law, Aemo Consult assumes no liability or responsibility for any (i) errors, mistakes, or inaccuracies of content; (ii) personal injury or property damage, of any nature whatsoever, resulting from your access to or use of our Platform; (iii) any unauthorised access to or use of our secure servers and/or any personal information stored therein; (iv) any interruption on the Platform; (v) any viruses or malware that may be transmitted to or through our Platform by any third party; (vi) any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through the Platform; (vii) the defamatory, offensive, or illegal conduct of any third party; (viii) any act, omission, and transaction between users.
In no event shall Aemo Consult or its affiliates, agents, directors, employees, suppliers, or licensors be liable for any claim exceeding the amount you paid to Aemo Consult. This limitation applies to liability arising from contract, tort, negligence, or any legal basis, even if Aemo Consult has been advised of the possibility of such damage.
21. Dispute Resolution
We shall make an effort to settle all disputes amicably. Any dispute arising out of these Terms which is not settled by mutual agreement/negotiation within 14 (fourteen) days shall be referred to Mediation and governed by the Arbitration and Mediation Act 2023 (as may be amended from time to time) (“Mediation”). The Mediator (“Mediator”) shall be appointed by both of us (we and you), where both of us are unable to agree on the choice of a Mediator, the choice of Mediator shall be referred to the Chairman of the Institute of Chartered Mediators and Conciliators (ICMC), Lagos chapter. The Venue for the mediation shall be Lagos, Nigeria. Parties undertake to exhaust the Mediation process before approaching a court of competent jurisdiction in Lagos, Nigeria, where such a dispute persists.
22. Waiver of Class Action:
By agreeing to these Terms, both you and Aemo Consult agree that any claims must be made individually, not as part of a class action, collective action, or any other representative proceeding, regardless of whether the Service was used for personal, commercial, or other purposes. This waiver also applies to class arbitration, and unless We both agree otherwise, the arbitrator will not be able to combine claims from multiple parties into a single proceeding.
23. Miscellaneous Provisions
23.1. Governing Law: These Terms are governed by the laws of the Federal Republic of Nigeria.
23.2. Severability: If any part of these Terms is found to be invalid or unenforceable, it will be removed, but the rest of the Terms will remain in full force. If an invalid provision can be modified to be valid, it will be considered adjusted to comply with applicable law to the fullest extent possible.
23.3. Assignment: You may not transfer or assign any of your rights or obligations under these Terms without our prior written consent. However, We may transfer or assign these Terms or any related rights or obligations without your consent, to the extent permitted by law
23.4. Waiver: If We choose not to enforce any right under these Terms, it does not mean We are waiving that right.
23.5 Relationship between the Parties: These Terms do not create any partnership, joint venture, agency, consultancy, or trusteeship. You and Aemo Consult are independent contractors under these Terms.
23.6 Notices: We may send notices via email, and it is your responsibility to ensure your email is valid. Notices are considered received when sent to your email, regardless of any delivery failure notice. You must send notices to Us as directed, which may change from time to time. All notices must be in writing, in English, and signed.
23.7 Force Majeure: We are not liable for delays or failure to meet any obligations due to events beyond our control, including, but not limited to, natural disasters, pandemics, government actions, civil disturbances, acts of terrorism, strikes, technological failures, or banking issues.
23.8. Third-Party Beneficiary: You agree that our third-party service providers have the right to enforce the relevant provisions of these Terms, as if they were a party to these Terms.
